Short description:

A lecture addressed to all students.

The following issues will be discussed during the lecture

- capacity to make legal acts,

- contracting parties and construction of contracts ,

- The principle of freedom of contract,

- concluding agreements,

- defects in declarations of intent,

- form of legal transactions,

- acting through an attorney,

- invalidity of legal acts,

- cancellation, termination and withdrawal from the contract,

- Non-performance of contracts and contractual claims,

- tort and delict claims,

- analysis of construction of selected civil law contracts.

The lecture will take the form of direct meetings or lectures

on-line (depending on the orders of the Rector of UW or the Dean of WNE UW, related to the epidemic situation caused by COVID - 19).

On the basis of the presented theory, students will study the example of practical problems

liability.

Full description:

Individual meetings within the framework of the lecture are intended to discuss the following issues:

1.capacity to make legal acts in case of natural persons and legal persons;

2. parties to civil law contracts (creditors and debtors);

3. construction of contracts (consideration and claims),

4. The principle of freedom of contract, with particular emphasis on the restrictions on the construction of contracts;

5. contracting (making legally effective declarations of will);

6. defects in declarations of intent (including acting under the influence of an error or threat) and ways of avoiding the effects of defective declarations of intent;

7. the form of legal transactions - with particular emphasis on the requirements of the form of a notarial deed;

8. acting through an attorney or a proxy;

9. invalidity of legal actions;

10. rules relating to termination, cancellation and withdrawal from the contract;

11. cases of non-performance of contracts and formulation of contractual claims;

12. cases of tort and formulation of tortious claims;

13. analysis of the construction of selected civil law contracts (e.g. sales contracts, mandate contracts), contracts for specific tasks, lease contracts, agency contracts, guarantee contracts and donation contracts).

Learning outcomes:

KNOWLEDGE:

At the end of the course, the student understands the existence of a set of civil law norms that define the rules of entering into, executing and terminating contractual relations, as well as knows the risks associated with claims for damages.

THE STATEMENTS:

The student is able to make an independent assessment of legal risks related to specific events in the contract trade.

BASIS:

Thanks to a comprehensive view of various legal problems, after completing the course, the student is able to avoid unwanted events, reduce legal risks and focus exclusively on concluding civil law contracts in accordance with the law.

Assessment methods and assessment criteria:

The basis for passing the course is to receive a positive grade from the exam.

The exam consists of a 45-minute study of two (of the three proposed) open questions (each of them for 10 points).

In total, it is possible to receive 20 points from the examination.

The basic pass threshold is 50% (10 points).

Written exam

In case of persistent restrictions related to the epidemic situation caused by COVID - 19 (depending on the orders of the Rector of UW or the Dean of WNE UW), an on-line exam is also possible. Such an exam will consist in sending 3 issues to all students participating in the exam via e-mail (at the same time). Students will choose 2 of the 3 issues and send back e-mails with the elaboration of the selected issues in PDF form, after no longer than 45 minutes, from the moment of sending the e-mail with the questions.
