Prerequisites (description): | The subject is a part of the annual block "The Law of Contract".Foreign language abilities are recommendable in order to work with foreign law legal texts and basic information on Polish civil law and continental/common law tradition. |

Short description: |
The subject matter of the lecture regards all popular procedures of contract formation adopted worldwide (offer & acceptance, negotiations, general conditions, auction and tender procedure). The Polish law are to be compared not only with the solutions of the said problems being in force in the main foreign, domestic legal systems but also with the uniform or model law. |

(in Polish) Na zajęciach omawiana jest sytuacja kontrahentów przed zawarciem umowy i odpowiedzialności przedkontraktowej oraz sposoby zawierania umów w prawie polskim oraz w wybranych krajowych systemach prawnych tradycji romańsko-germańskiej i common law; Zajęcia obejmują omówienie problematyki ofertowego trybu zawarcia umowy z uwzględnieniem specyfiki obrotu elektronicznego (pojęcie i charakter prawny oferty; złożenie oferty i jej skuteczność; wygaśnięcie oferty; przyjęcie oferty; modyfikujące przyjęcie oferty), a także procedury negocjacji (m.in. zobowiązania przedkontraktowe, listy intencyjne), zawarcia umowy za pomocą wzorców w obrocie konsumenckim i profesjonalnym (m.in. zagadnienie kolizji wzorców) oraz aukcji i przetargu |

Learning outcomes: |
The ability of rational thinking and critic, comparative analyzing of the discussed subject matters capacity of proper presentation and description of legal issues (oral, written presentation, prepared in the group of students or individually, the reasonable exploitation of the time given for taking the floor). The foreign and legal language skills strongly recommended. |
Assessment methods and assessment criteria: |
The students who are going to take active and frequent part in deliberations are to be evaluated in acc. with their legal language skills, the ability of proper presentation and description of legal issues orally, the method and form of reasoning, the legal language abilities. The other students are supposed to present the papers (no more than 21 standardized pages) on the topic individually chosen and accepted by the tutor or pass the oral exam. In the latter case their writing abilities are to be estimated, the style, the way of use of bibliography, the proper references to the footnotes. |
