Short description: |
Mergers and Acquisitions (M&A) means transactions consisting in sale of shares in companies as well as sale of other assets (including an enterprise). M&A transactions are the key practise element of any corporate department in a law firm. The purpose of the course is for the participants to learn how the M&A process is conducted step by step, what are the key issues, what is the terminology as well as what is the economic background behind the legal solutions. The participant will gain sufficient knowledge, both as to applicable terminology and otherwise, to participate in the running of an M&A transaction. The course lecturer, apart from his academic background, has 15+ years of experience in one of the leading international firm, working on M&A transactions. |

Particular topics: 1. M&A process step by step (9-10 meetings) 2. Joint ventures in the context of an M&A transaction (1-2 meetings) 3. Financing of an M&A transaction (1-2 meetings) 4. Legal merger/demerger (1-2 meetings) The international M&A practise is to a great extent universal. Therefore classes concentrate on this practise and not so much on legal provisions of any particular legal system. Analysis of legal merger/demerger is conducted in reference to the UE directive. |
