Brief description

The lectures present the historical foundations of European legal identity from the Roman Empire to the European Union. In view of the multiple character of this identity the stress lies on the distinction between the common law (British Isles) and the civil law countries (the continent). Within the latter area the gradually disappearing distinction between Eastern and Western Europe is dealt with.

Brief description

The purpose of the seminar is to encourage students to make an in-depth research on EU constitutional law issues and to discuss their papers with a group of internationally renowned experts. The course has a form of a number of preparatory meetings (happening always on Mondays, at 8 pm) culminating in two-days block-seminar (crash course) during which papers are presented and thoroughly discussed.

This year seminar takes place under honorary patronage of Professor Adam Bodnar, Minister of Justice.

The final seminar will take place on 13/14 May 2024.

Brief description

This course examines a selection of company law topics in a comparative context, drawing in particular on the laws of the UK, Germany, France, and the United States. At the beginning of each class, the students will be introduced to definitions and concepts to be considered in depth during the class. This will be followed by a presentation of relevant national rules from different jurisdictions in order to allow for comparison of how different legal systems deal with the same issues. Against this background, the final part of each class will be devoted to discussing comparative advantageousness and effectiveness of the solutions analysed. Participants are expected to contribute to the discussions.

Brief description

Course description: the course presents a general overview of Polish civil procedural law. Students are supposed to get knowledge about basic legal notions and institutions regulated by the Code of Civil Procedure as the main source of Polish statue law. Some part of the course also refers to the organization and structure of the Polish judicial system (in general). The main issues regarded during this course are eg. fundamental principles of civil procedure, persons and organs participating in the proceedings, civil actions, means of evidence, judgments and appellate measures.

The study comprises of certain selection of more important subjects concerning the principle of uniformity, interpretive methodology of the CISG provisions, filling in gaps, default rules, the importance of trade usages in CISG rule application, the importance of notice, the burden of proof, the formation of sale contract (writing requirements, offer and acceptance rules), the obligations of buyers, the obligations of sellers, the common obligations of buyers and sellers, the breach of contract, damages, excuse and preservation. The lecture’s schedule includes a number of references to municipal legal systems and jurisdiction of some leading countries of common and civil law tradition as good as to the uniform model law (the Principles of European Contract Law, The UNIDROIT Principles of International Commercial Contracts) in the context of harmonization of the European codified civil law systems.

Brief description

This course is designed to enjoy the comparative analysis that helps to see and understand the differences in criminal justice. What makes them. What do they depend on? How far does the country's criminal justice depend on the country's political system, history, respect for human rights? What we name as crime, how we approach it, and what kind of punishment and why we applied; this is not just what criminal justice is about. It provides us with a better understanding of the role criminal justice has when politics, economy, social life, and quality of life are concerned. Thanks to the international audience we will share our experiences and learn from each other.

Our primary focus will be on prisons and their alternative especially in the era of globalization; gender and criminal justice; LGBTQ+ community and criminal justice, sexual offenses, and violence – an international comparative perspective, basic rules behind specific criminal justice.

Brief description

(in Polish) a legal frame in international law concerning international trade and investments. The most important part concerns international trade law including World Trade Organization and its legal system as well as regional trade agreements, That part includes mainly regulations concerning trade in goods and services, intellectual property rights but also institutional and organizational aspects of the WTO law as well as dispute settlement. The lecture will also cover a problem of developing states and the EU as a member of the WTO and party of regional trade agreements. An important part of international economic law is investment law. During lecture we concentrate on investment law of the EU.

Brief description

Mergers and Acquisitions (M&A) means transactions consisting in sale of shares in companies as well as sale of other assets (including an enterprise). M&A transactions are the key practise element of any corporate department in a law firm.

The purpose of the course is for the participants to learn how the M&A process is conducted step by step, what are the key issues, what is the terminology as well as what is the economic background behind the legal solutions.

The participant will gain sufficient knowledge, both as to applicable terminology and otherwise, to participate in the running of an M&A transaction.

The course lecturer, apart from his academic background, has 15+ years of experience in one of the leading international firm, working on M&A transactions.

The lecture focuses on presenting and analysing legal systems which display features that allow to classify them as mixed. Such systems have occurred within the European legal tradition, resulting from mixing the subtraditions of common law and civil law, and also in various places where European influence has encountered local legal traditions. The lecture stresses the historical factors that resulted in forming of mixed legal systems and traditions and manages to introduce an idea of their unique quality as working material for legal scholars who wish to compare legal systems of modern world.

The course is dedicated to the European legal history with particular focus on the criminal and public law (administrative and constitutional). The basic perspective of the course is legal one but with interdisciplinary approach including social, economic and political contexts. Legal tradition regarding private law will not be covered, however, as a division into public and private law is a product of the modern age, some topics will be connected to the matter that is traditionally recognized as a part of private law (for exemple anglo-saxonic common law).
